1. Acceptance of These Terms

These Master Website Terms of Use ("Terms") constitute a legally binding agreement between you and Astoria Company Marketing LLC, doing business as Astoria Company, together with its owned or operated websites, brands, products, services, platforms, landing pages, forms, applications, and digital properties (collectively, "Astoria Company," "Astoria," "Company," "we," "us," or "our").

These Terms are intended to serve as Astoria Company's centralized website terms for AstoriaCompany.com and for any current or future Astoria-owned, Astoria-operated, or Astoria-controlled website, domain, subdomain, landing page, form, application, platform, portal, API, call flow, tracking number, campaign page, SaaS product, content, communication, or other digital property that links to, displays, incorporates, or references these Terms (collectively, the "Website" or "Websites").

Because Astoria operates a portfolio of websites, brands, domains, landing pages, and campaign properties, these Terms apply across all covered Astoria Websites whether or not a specific domain, subdomain, campaign, form, or digital property is listed by name.

By accessing or using the Websites, submitting information to us, communicating with us, using a form, clicking a button, checking a box, requesting information, or otherwise using the Website Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any site-specific terms, disclosures, consent language, or supplemental terms presented to you.

If you do not agree to these Terms, do not access or use the Websites or Website Services.

2. Websites and Services Covered

These Terms are designed to support a centralized master terms framework for all Astoria-owned, Astoria-operated, and Astoria-controlled websites and digital properties. The examples below are representative only and do not limit the scope of these Terms:

B2B lead generation and marketing websites, including MortgageLeads.com, MedicareLeads.com, AttorneyLeads.com, BestInsuranceLeads.com, HomeRemodelingLeads.com, and PayPerCallMarketing.com;

B2C consumer inquiry and lead generation websites, including Repairmen.com, NewMedicare.com, NewHealthInsurance.com, LegalCaseReview.com, CollegeDegree.Education, InsuranceShopping.com, MortgageZone.com, and all additional current or future Astoria-operated consumer inquiry websites, landing pages, quote pages, campaign pages, forms, phone numbers, and digital properties, whether or not listed by name;

SaaS and technology websites, including OrganicStack.com, PingPost.Exchange, ConsentCompliance.com and related dashboards, APIs, portals, account areas, and technology services; and

Any other current or future Astoria-owned, Astoria-operated, or Astoria-controlled domain, subdomain, microsite, landing page, form, application, call flow, call tracking number, campaign page, advertising page, portal, API, software tool, or digital property that links to, displays, incorporates, or references these Terms.

These Terms may be linked from multiple Astoria websites and are intended to apply across those websites as single centralized Astoria Company website terms. Some websites, products, services, campaigns, account areas, or transactions may be governed by additional or different terms, including SaaS terms, SMS terms, insertion orders, lead and call services agreements, data processing agreements, campaign rules, consent language, privacy notices, or partner terms. If supplemental terms conflict with these Terms, the supplemental terms control for the applicable website, service, campaign, account area, or transaction to the extent of the conflict.

3. Eligibility and Age Restrictions

The Websites are intended for users who are at least 18 years old. You may not use the Websites, submit information, request services, create an account, or use Website Services if you are under 18 years of age. By using the Websites, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Website Services - Advertising, Matching, Lead Generation, Call Routing, and Technology Services

Astoria operates websites and services that may include advertising, marketing, matching, lead generation, call routing, pay-per-call, ping/post, host/post, inquiry routing, business-to-business marketing, and technology services (collectively, the "Website Services").

Depending on the website or service, we may connect consumers or business users with third-party advertisers, agencies, service providers, lead buyers, call buyers, publishers, sellers, resellers, networks, software users, or other commercial participants (collectively, "Partners").

  • Unless expressly stated otherwise in writing, Astoria is not the lender, insurance carrier, Medicare plan, law firm, attorney, contractor, school, financial institution, advertiser, seller, provider, or professional service provider for the third-party products or services that may be advertised, requested, matched, or offered through the Websites. Astoria is not responsible for any Partner’s approval decisions, pricing, rates, fees, service availability, qualifications, advice, representations, contracts, claims handling, professional services, or performance.

5. No Professional Advice; Vertical-Specific Disclaimers

The Websites are provided for informational, advertising, marketing, routing, and matching purposes only. Information on the Websites is not legal, financial, tax, medical, insurance, Medicare, mortgage, lending, construction, education, or other professional advice.

Legal inquiry sitesAstoria is not a law firm and does not provide legal advice. Submission of information does not create an attorney-client relationship with Astoria or any Partner. Any legal representation, case review, fee agreement, or advice is solely between you and the applicable attorney or law firm.
Home services / contractor inquiry sitesAstoria is not a contractor, construction company, home services provider, warranty provider, or guarantor of any work. Any estimate, appointment, work order, license, insurance, warranty, or job performance is the responsibility of the applicable Partner.
Education inquiry sitesAstoria is not a school, university, lender, accreditor, or education advisor unless expressly stated. Any program, admission, tuition, financial aid, accreditation, or enrollment decision is made by the applicable Partner.
SaaS / technology sitesPublic SaaS marketing pages may describe technology services, but paid subscriptions, API access, dashboards, platform use, account rights, support, service levels, and data processing obligations may be governed by separate SaaS terms, order forms, DPAs, or addenda.

6. User Information, Applications, Inquiries, and Partner Communications

In order to receive information, be matched with Partners, request quotes, submit an inquiry, use Website Services, or communicate with us, you may be asked to provide information through forms, calls, SMS, email, chat, account portals, APIs, or other methods ("Your Information").

Depending on the website or service, Your Information may include your name, email address, telephone number, mobile number, mailing address, state, zip code, property information, mortgage or loan interests, insurance or Medicare interests, health insurance inquiry information, legal matter type, home project details, education interests, business contact information, account information, consent records, or other information relevant to your request.

If you use a website chat feature, including the Tawk.to chat feature currently implemented on AstoriaCompany.com and BestInsuranceLeads.com, Your Information may also include chat messages, contact details you provide in the chat, page context, timestamps, IP address, user agent, device/browser information, and related technical metadata. Website chat may be staffed by Astoria personnel during limited business hours and may also provide automated or offline messaging functionality.

By submitting Your Information, and subject to the consent language presented at the point of collection, you authorize Astoria to collect, use, disclose, sell, share, transfer, license, post, ping, route, verify, validate, suppress, deduplicate, and otherwise process Your Information to provide Website Services, operate our business, document consent, comply with law, and connect you with Partners.

  • You understand that Partners may contact you by telephone, email, SMS/MMS, direct mail, website redirect, or other lawful methods if they have legally sufficient consent or another lawful basis to do so. Partner communications are governed by the applicable Partner’s own privacy policy, terms, licensing obligations, consent practices, and applicable law. Astoria is not responsible for a Partner’s independent communications or business practices, except to the extent required by applicable law or a written agreement between Astoria and that Partner.

When you provide a telephone number, mobile number, email address, or other contact information to Astoria, contact us, submit an inquiry, or request information, you authorize Astoria and, where disclosed in the applicable consent language, its Partners to contact you regarding your inquiry, requested service, account, transaction, business relationship, or related products and services.

Communications may be made by live call, prerecorded message, artificial voice, automated dialing technology, SMS/MMS, email, direct mail, website redirect, or other lawful methods to the extent permitted by the consent language presented at the point of collection and applicable law. Consent to receive communications from Astoria is not a condition of purchasing any goods or services from Astoria.

  • Astoria currently uses Zoom Phone and related messaging services to send and receive business communications. Astoria does not use SMS or MMS messaging to conduct outbound cold text messaging campaigns on its own behalf. Astoria SMS communications are intended to be responsive, transactional, service-related, support-related, account-related, or otherwise connected to an existing or requested communication or business relationship.

Some Partners that receive leads or calls from Astoria may use TCPA-compliant permission to conduct outbound SMS or MMS communications. Astoria does not send those third-party text messages itself. Where permitted by the consent language presented at the point of collection and applicable law, Partners may contact you by SMS/MMS, telephone, email, or other methods. Those communications are the responsibility of the applicable Partner.

You may opt out of Astoria SMS communications by replying STOP to a message from Astoria or by contacting us. You may request help by replying HELP or contacting us directly. We will honor reasonable requests to opt out of Astoria communications as required by applicable law. Opting out of communications from Astoria does not automatically opt you out of communications from Partners who may have independently received your information or consent.

8. Privacy Policy and Privacy Rights

Your use of the Websites and Website Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, sell, share, retain, and protect personal information and how you may exercise privacy rights. The Privacy Policy is incorporated into these Terms by reference.

Depending on where you live and how your information is processed, you may have rights to access, correct, delete, receive a copy of, opt out of sale or sharing, opt out of targeted advertising, limit the use of sensitive personal information, appeal a privacy decision, or exercise other privacy rights. By using the Websites, submitting information, creating an account, communicating with us, or requesting Website Services, you consent to receive communications, disclosures, notices, records, agreements, confirmations, and other information electronically, including by email, website posting, account portal, SMS/MMS, or other electronic means. You agree that electronic communications satisfy any legal requirement that such communications be in writing to the fullest extent permitted by law.

You are responsible for maintaining accurate contact information and for ensuring that you can receive electronic communications. You may withdraw consent to receive certain electronic communications where permitted by law, but doing so may limit your ability to use certain Website Services or receive requested information.

10. User Representations and Responsibilities

By using the Websites or Website Services, you represent and warrant that:

You are at least 18 years old;

All information you submit is truthful, accurate, current, and complete;

You are the account holder or authorized user of any telephone number, mobile number, email address, or account information you provide;

  • You will maintain the accuracy of information you provide to us;

You will keep passwords, credentials, account access, API keys, and other access information confidential;

You will not submit information about another person unless you are legally authorized to do so;

You will not use the Websites or Website Services for fraud, abuse, harassment, illegal conduct, or unauthorized commercial activity; and

Your use of the Websites and Website Services does not violate any applicable law, regulation, contract, or third-party right.

11. Prohibited Activities

You may not access or use the Websites for any purpose other than the purpose for which Astoria makes them available. Prohibited activities include, without limitation:

Using the Websites in violation of any applicable law, regulation, industry rule, or third-party right;

Submitting false, inaccurate, misleading, fraudulent, or unauthorized information;

Using bots, scrapers, spiders, crawlers, automated tools, data mining tools, or similar technologies without written permission;

Systematically retrieving, harvesting, scraping, or extracting content, data, leads, user information, pricing, forms, or other materials from the Websites;

Interfering with, disrupting, overloading, attacking, or creating an undue burden on the Websites, networks, systems, APIs, security tools, call systems, or services;

Attempting to bypass, disable, defeat, or interfere with security, fraud prevention, consent documentation, access control, rate limiting, or technical protection measures;

Deciphering, decompiling, disassembling, reverse engineering, copying, modifying, or creating derivative works from any software, code, system, database, API, or technology made available through the Websites except as expressly permitted by law;

Using the Websites or Website Services to compete with Astoria, build a competing product, copy data or designs, benchmark without permission, or reverse engineer business processes;

Framing, mirroring, linking to, or embedding the Websites in a misleading or unauthorized manner;

Uploading or transmitting viruses, malware, malicious code, or harmful materials;

Harassing, threatening, abusing, impersonating, or attempting to defraud Astoria, its employees, users, Partners, or service providers;

Deleting or altering copyright, trademark, or proprietary notices;

Using the Websites for unlawful telemarketing, unlawful SMS, spam, spoofing, phishing, or unauthorized data collection; or

Using the Websites in any manner that Astoria determines could damage, disable, overburden, impair, or expose Astoria, its users, Partners, or systems to risk.

12. Accounts, Portals, Dashboards, APIs, and SaaS-Adjacent Services

Some Astoria websites or services may allow account creation, portal access, dashboard use, API access, SaaS trials, demos, or other technology features. You are responsible for all activity under your account, credentials, users, API keys, integrations, and configurations.

  • Unless expressly stated otherwise, these Terms govern public website access only. Paid SaaS subscriptions, platform use, lead routing tools, API access, software trials, managed services, insertion orders, or commercial transactions may be governed by separate SaaS terms, order forms, addenda, data processing agreements, acceptable use policies, or commercial agreements.

Astoria may suspend, restrict, or terminate access to any account, portal, API, dashboard, or technology feature if Astoria believes there is fraud, abuse, security risk, legal risk, nonpayment, unauthorized use, excessive usage, DDoS activity, data misuse, or violation of these Terms or other applicable terms.

13. Intellectual Property Rights

The Websites and all content, software, databases, functionality, source code, object code, website designs, text, graphics, images, videos, forms, workflows, logos, trademarks, service marks, trade names, page headers, icons, scripts, data structures, documentation, and other materials made available through the Websites (collectively, "Company Content") are owned by Astoria or its licensors and are protected by intellectual property and other laws.

Subject to your compliance with these Terms, Astoria grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Websites and Company Content for your personal, internal business, or informational use, as applicable to the relevant website. No Company Content may be copied, reproduced, distributed, transmitted, displayed, sold, licensed, scraped, extracted, modified, reverse engineered, or otherwise exploited without Astoria’s prior written consent, except as expressly permitted by law.

All rights not expressly granted are reserved by Astoria and its licensors. You may not use Astoria’s trademarks, logos, trade dress, or domain names in a manner likely to cause confusion or imply endorsement without written permission.

14. Submissions, Feedback, and User Content

If you submit questions, comments, ideas, suggestions, feedback, reviews, testimonials, proposed improvements, or other materials regarding the Websites or Website Services (collectively, "Submissions"), you grant Astoria a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, distribute, display, perform, create derivative works from, and otherwise exploit the Submissions for any lawful purpose without compensation to you, except where prohibited by law or subject to a separate written agreement.

You represent that you own or have all rights necessary to submit any Submissions and that your Submissions do not violate any law or third-party rights.

15. Third-Party Websites, Content, and Partners

The Websites may contain links to third-party websites, services, forms, ads, offers, content, applications, or platforms. You may also be redirected to a Partner or contacted by a Partner after submitting information. Astoria does not control third-party websites, services, content, privacy practices, terms, communications, offers, or transactions.

Certain Websites may include third-party chat widgets or messaging tools, including Tawk.to where enabled. Astoria does not control the underlying third-party chat platform, its availability, security, or independent processing practices, except as set out in applicable vendor terms or required by law. You should not submit sensitive personal information through chat unless expressly requested through an appropriate secure process.

The inclusion of a link, redirect, Partner, advertisement, or third-party content does not imply Astoria’s approval, endorsement, guarantee, or responsibility. You access third-party websites and interact with Partners at your own risk. You should review the applicable third party’s terms, privacy policy, consent language, and other notices before providing information or entering into any transaction.

16. Site Management, Monitoring, and Enforcement

Astoria reserves the right, but does not have the obligation, to monitor the Websites and Website Services for violations of these Terms, security risks, fraud, abuse, unlawful conduct, or operational issues. Astoria may take any action it deems appropriate, including restricting access, blocking IP addresses, suspending accounts, removing content, reporting conduct to law enforcement or regulators, preserving evidence, or pursuing civil, criminal, injunctive, or other remedies.

17. Availability, Changes, and Corrections

Astoria may modify, update, suspend, discontinue, or remove any Website, Website Service, content, feature, form, campaign, offer, account area, API, or functionality at any time without notice. Astoria is not liable to you or any third party for any modification, suspension, discontinuance, error, outage, delay, or unavailability of any Website or Website Service.

The Websites may contain typographical errors, inaccuracies, omissions, outdated information, or technical issues. Astoria reserves the right to correct errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

18. Disclaimers

THE WEBSITES, WEBSITE SERVICES, COMPANY CONTENT, FORMS, COMMUNICATIONS, AND ANY INFORMATION PROVIDED THROUGH THE WEBSITES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ASTORIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND COURSE OF DEALING.

ASTORIA DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PARTNER, THIRD-PARTY WEBSITE, PRODUCT, SERVICE, OFFERING, QUOTE, APPROVAL, ADVICE, COMMUNICATION, CONTRACT, OR TRANSACTION. ASTORIA IS NOT RESPONSIBLE FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, FINANCIAL LOSS, LEGAL CONSEQUENCE, DENIAL OF SERVICE, REJECTION, CLAIM, DISPUTE, OR DAMAGES ARISING FROM YOUR INTERACTION WITH A PARTNER OR THIRD PARTY.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ASTORIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, PARTNERS, SERVICE PROVIDERS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE WEBSITES, WEBSITE SERVICES, PARTNERS, THIRD-PARTY COMMUNICATIONS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ASTORIA’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE WEBSITES, WEBSITE SERVICES, PARTNERS, THIRD-PARTY COMMUNICATIONS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO ASTORIA FOR THE SPECIFIC WEBSITE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations apply to the fullest extent permitted by law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Astoria, its affiliates, and their respective officers, directors, employees, contractors, agents, service providers, licensors, suppliers, successors, and assigns from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your access to or use of the Websites or Website Services;

Your violation of these Terms or any supplemental terms;

Your violation of any law, regulation, contract, or third-party right;

Your submission of false, inaccurate, unauthorized, or misleading information;

Your misuse of any telephone number, email address, account, API key, credentials, form, or Website Service;

Your Submissions or other content you provide; or

Any dispute between you and a Partner or other third party.

  • Astoria reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with Astoria’s defense of such claims.

21. Disputes with Partners and Release

If you have a dispute with a Partner or other third party, you agree that Astoria has no obligation to become involved. To the fullest extent permitted by law, you release Astoria and its officers, directors, employees, agents, affiliates, successors, and assigns from all claims, demands, damages, losses, liabilities, and expenses of every kind and nature, known and unknown, arising out of or related to disputes with Partners or other third parties.

If you are a California resident, you waive California Civil Code Section 1542, which provides that a general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known, would have materially affected their settlement with the debtor or released party.

22. Governing Law and Venue

These Terms and any dispute, claim, action, or proceeding arising out of or relating to the Websites, Website Services, communications, Partners, transactions, or these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Subject to the arbitration provisions below, any court proceeding that is not subject to arbitration shall be brought exclusively in the state or federal courts located in or with jurisdiction over Tarrant County, Texas. You consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum or lack of jurisdiction.

  • Astoria may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, systems, security, business operations, or rights.

23. Mandatory Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for claims that may not be arbitrated under applicable law and claims for injunctive or equitable relief as described above, any controversy, claim, or dispute arising out of or relating to the Websites, Website Services, communications, Partners, transactions, these Terms, or the breach, termination, enforcement, interpretation, validity, or scope of these Terms, including the arbitrability of any dispute, shall be resolved by binding arbitration in Tarrant County, Texas, administered by a nationally recognized arbitration provider under its applicable rules.

The arbitrator shall be neutral and independent. The arbitrator may award the same individual relief that a court could award, subject to these Terms and applicable law. Judgment on the arbitration award may be entered in any court having jurisdiction.

You and Astoria agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of class, collective, consolidated, private attorney general, or representative proceeding, except to the extent such waiver is prohibited by applicable law.

  • Unless otherwise required by law or the arbitration provider’s rules, each party shall bear its own attorneys’ fees and costs, and arbitration fees shall be allocated as required by the applicable arbitration rules. This arbitration agreement and class action waiver survive termination of these Terms and your use of the Websites.

24. Time Limitation on Claims

To the fullest extent permitted by law, any claim, action, or proceeding arising out of or related to the Websites, Website Services, communications, Partners, transactions, or these Terms must be filed within one (1) year after the cause of action arose, or it is permanently barred. If applicable law requires a longer period, the shortest period permitted by law applies.

25. Export Controls and Sanctions

You may not use, export, re-export, download, or transfer any software, technology, data, or services from the Websites except as authorized by United States law and the laws of the jurisdiction in which the software, technology, data, or services were obtained. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to U.S. embargo or sanctions and are not on any U.S. government restricted-party list.

26. Changes to These Terms

Astoria may update these Terms from time to time. When we update them, we will revise the effective date or last updated date above. The updated Terms will be posted on the applicable website. Your continued use of the Websites or Website Services after an update means you accept the updated Terms. Changes to dispute resolution provisions will apply only to disputes arising after the effective date of the updated Terms unless otherwise permitted by law.

27. Termination

These Terms remain in effect while you access or use the Websites or Website Services. Astoria may deny, suspend, restrict, or terminate your access to any Website or Website Service at any time, for any reason or no reason, with or without notice, including if Astoria believes you violated these Terms, created legal or security risk, submitted fraudulent information, engaged in abuse, or interfered with Astoria’s operations.
